These terms form a binding agreement between you and VectisERP governing your use of the service. By creating a workspace, starting a free trial, or using the free browser preview, you agree to them. If you are using VectisERP on behalf of a business, you are agreeing on that business's behalf and confirming you have the authority to do so, and "you" and "your" refer to that business. If you do not agree to these terms, do not use the service.
You must be at least 18 years old, or the age of majority in your jurisdiction, and able to form a binding contract to use the Service. The Service is offered exclusively to businesses, sole traders, and other users acting in a business or professional capacity, not to consumers acquiring it for personal, family, or household use. If mandatory consumer protection law nonetheless applies to your purchase, nothing in these terms limits any right you have under that law that cannot be waived by agreement.
VectisERP is on-hand inventory software: barcode scanning, receiving, adjustments, batch and lot tracking, and an activity audit log for shops that manage stock at the counter. The free browser preview runs entirely in your browser with no account required and stores nothing on our servers; that local data is not backed up by us and is your sole responsibility to preserve. Creating a Workspace moves your data to our hosted service. We may add, change, deprecate, or remove features, and may impose or change limits on the Service (such as the SKU or team-seat limits tied to your plan), at any time, with notice where a change materially reduces functionality you are actively paying for.
From time to time we may make beta, preview, or early-access features available. Those features are provided "as is," may be changed or discontinued at any time without notice, and are excluded from any warranty, support, or service-level commitment that otherwise applies to the Service.
We do not guarantee any specific level of uptime or availability for the Service, and no service-level agreement applies unless we have agreed to one with you separately in writing.
New Workspaces start with a 7-day free trial. No payment method is required to start a trial. Data you create during a trial that does not convert to a paid subscription may be retained for a limited period after the trial ends and then deleted; export anything you want to keep before your trial ends.
If you choose to continue after your trial, or if you add a payment method during your trial, your account will convert to a paid subscription at the price shown for your selected plan at the time you subscribe, and you will be billed automatically on a recurring monthly basis until you cancel. Payments are processed by Stripe, Inc. By subscribing, you authorize us and Stripe to charge your payment method on each renewal date until you cancel. We will give you clear notice, consistent with applicable law, before your trial converts to a paid subscription or before any price increase takes effect on your account.
You can cancel at any time from your account settings, using a method no more difficult than how you signed up. There is no setup fee and no requirement to commit to an annual contract. You are responsible for any sales, use, VAT, or similar taxes applicable to your subscription, other than taxes on our net income; where required, we will collect and remit applicable transaction taxes through Stripe.
If a payment fails, we may retry the charge, and we may suspend your access to paid features if payment is not received within a reasonable period after we notify you.
Except as described below or as required by applicable law, all fees are non-refundable, including partial billing periods. In particular, we do not provide refunds because:
We do provide a refund or credit if:
If you dispute a charge with your bank or card issuer (a chargeback) without first contacting us to resolve a billing problem, we may suspend your account while the dispute is resolved, and may charge a reasonable fee to cover chargeback costs where permitted by law and by our payment processor's rules.
You agree not to, and not to permit any Authorized User or other third party to:
We may investigate suspected violations, remove or disable access to offending Content, and suspend or terminate access for any account we reasonably believe is misusing the Service, as described in Section 12. Where we believe the law requires it, we may report unlawful activity to the appropriate authorities and cooperate with law enforcement requests.
As between you and us, you own your Content. You grant us a limited, non-exclusive license to host, store, reproduce, and process your Content solely to provide, secure, and improve the Service for you, and as otherwise described in our Privacy Policy. You represent that you have the right to submit your Content and that it does not violate these terms or any law.
You are responsible for the accuracy and legality of the Content you enter, and for verifying stock levels before relying on them for decisions that matter to your business. Do not enter payment card numbers, government identification numbers, health information, or other sensitive personal data into free-text fields (such as product descriptions or notes); the Service is not designed to handle that category of data, and we disclaim responsibility for Content you submit in violation of this instruction.
You can export your Content as a CSV file at any time, and you can request deletion of your Workspace data as described in our Privacy Policy. For customers who require one, a data processing agreement covering our processing of personal data within your Content is available on request.
Each party may have access to non-public information of the other party in connection with the Service, including your Content and our non-public product or business information ("Confidential Information"). Each party agrees to use the other party's Confidential Information only to perform its obligations under these terms, and to protect it using at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care. This section does not apply to information that is or becomes public through no fault of the receiving party, was already known to the receiving party, or is independently developed without use of the disclosing party's Confidential Information.
VectisERP, including its software, design, and branding, is owned by us and protected by intellectual property law. These terms do not grant you any rights to our trademarks or branding beyond what is necessary to use the Service, and we reserve all rights not expressly granted.
If you send us feedback, suggestions, or ideas about the Service, you agree that we may use them without restriction or compensation to you, and you will not be identified as their source unless we agree otherwise.
The Service integrates with or relies on third-party services, including Stripe for payments and, if you choose, Google for sign-in. Your use of those services is governed by their own terms, and we are not responsible for their availability, content, security, or practices.
These terms remain in effect for as long as you use the Service. You can stop using VectisERP and cancel your subscription at any time from your account settings. We may suspend or terminate your access, with notice where reasonably possible, if you materially breach these terms (including the acceptable use policy in Section 6), fail to pay amounts owed, or if we reasonably believe your account poses a security or legal risk to us or other users.
On termination, your right to access the Service ends. We will make your Content available for export for a reasonable period following termination (except where your account was terminated for the reasons described above, or where retention would violate applicable law), after which we may permanently delete it. Sections 1 and 6 through 20 survive termination of these terms.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, EXCEPT TO THE EXTENT SUCH WARRANTIES CANNOT BE EXCLUDED UNDER APPLICABLE LAW. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY INVENTORY COUNT IT REPORTS WILL ALWAYS BE ACCURATE, SINCE ACCURACY DEPENDS ON THE DATA YOUR TEAM ENTERS AND ON THIRD-PARTY SERVICES OUTSIDE OUR CONTROL.
The Service displays information, such as stock counts and low-stock indicators, based on data your team enters. Nothing in the Service constitutes business, financial, tax, legal, or other professional advice, and no output of the Service should be treated as a recommendation. You are solely responsible for evaluating the information the Service provides and for your own purchasing, staffing, and other business decisions, and you should conduct your own independent research before relying on it.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VectisERP WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS.
Nothing in these terms limits or excludes any liability that cannot be limited or excluded under applicable law, including, where applicable, liability for death or personal injury caused by negligence, or for fraud.
You agree to indemnify, defend, and hold VectisERP and its owners, employees, and contractors harmless from any claim, liability, damages, and expenses (including reasonable legal fees) arising from: (a) your Content, (b) your misuse of the Service, (c) your violation of these terms, or (d) your violation of any law or the rights of a third party.
You may not use the Service if you are located in, or are a national or resident of, a country subject to comprehensive U.S. trade sanctions, or if you are listed on any U.S. government restricted-party list. You agree to comply with all applicable export control and economic sanctions laws in your use of the Service.
The Service is general-purpose commercial inventory software. It is not designed, certified, or authorized for the storage, processing, or transmission of technical data controlled under the International Traffic in Arms Regulations (ITAR), the Export Administration Regulations (EAR) at a controlled classification level, Controlled Unclassified Information (CUI) subject to NIST SP 800-171 or DFARS 252.204-7012, classified information, or any other data subject to government-mandated data residency, data sovereignty, or personnel-nationality access restrictions. We do not currently offer region-restricted hosting, U.S.-persons-only access controls, FedRAMP or GovCloud infrastructure, or any comparable certification. If your organization is subject to ITAR, EAR, CMMC, or similar regulatory regimes, you agree not to enter or store any data subject to those regimes in the Service, and you are solely responsible for determining whether the Service is suitable for your regulatory obligations before doing so.
Informal resolution first. If a dispute arises, you agree to first contact us at legal@vectiserp.com and attempt in good faith to resolve it informally for at least 30 days before starting a formal proceeding.
Governing law. These terms, and any dispute arising from them or from the Service, are governed by the laws of the State of Washington, United States, without regard to conflict-of-law principles.
Venue. Subject to the arbitration agreement below, the parties consent to the exclusive jurisdiction of the state courts of King County, Washington, and the federal courts of the Western District of Washington, except where applicable law gives you the right to bring a claim in your local courts.
Agreement to arbitrate. Except for disputes that qualify for small claims court, or claims for injunctive relief to protect intellectual property or confidential information, any dispute arising from these terms or the Service will be resolved by binding, individual arbitration seated in King County, Washington, in accordance with the commercial arbitration rules of a recognized arbitration provider (such as the American Arbitration Association) applicable at the time the claim is filed. This means neither party will have the right to a jury trial or to participate in a class action.
Right to opt out. You may opt out of this arbitration agreement by notifying us in writing at legal@vectiserp.com within 30 days of first agreeing to these terms; if you opt out, either party may bring disputes in the courts described above.
Time limit on claims. Any claim arising out of or relating to these terms or the Service must be brought within one year after the claim first accrued, or it is permanently barred, except where applicable law requires a longer period.
Billing disputes. You must notify us of any billing discrepancy within 60 days of the charge in question; charges not disputed within that window are deemed accepted.
Neither party is liable for any delay or failure to perform caused by events beyond its reasonable control, including outages of third-party infrastructure or payment processors, natural disasters, internet or telecommunications failures, labor disputes, or acts of government.
We may update these terms as VectisERP changes. If we make material changes, we will update the date at the top of this page and, where appropriate, notify you directly, with reasonable advance notice before material changes take effect for existing paid subscribers. Continued use of the Service after a change takes effect means you accept the updated terms; if you do not agree, you must stop using the Service and may cancel your subscription.
Questions about these terms can be sent to legal@vectiserp.com.
